END USER LICENSE AND SERVICE AGREEMENT: WHEREAS, Neotrope, Neotrope Software (NS), is an information provider agency representing services connected to the Internet. MC offers storage and transfer services over the Internet through access to its represented Web Servers; WHEREAS, Client seeks to utilize NS's server for its own purposes; WHEREAS, the parties acknowledge that the Internet is neither owned nor controlled by any one entity; therefore, NS can make no guarantee that any given reader shall be able to access NS's server at any given time. NS represents that it shall make every good faith effort to ensure that its server is available as widely as possible and with as little service interruption as possible; NOW THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows; LIMITED LIABILITY: 1. Client expressly agrees that use of Neotrope Software (NS)'s Server is at Client's sole risk. Neither NS, its employees, affiliates, agents, third party information providers, merchants licensers or the like, warrant that NS's Server service will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the Server service or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through the NS Server service, unless otherwise expressly stated in this Agreement. 2. Under no circumstances, including negligence, shall NS, its offices, agents or any one else involved in creating, producing or distributing NS's Server service be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the NS Server service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to NS's records, programs or services. Client hereby acknowledges that this paragraph shall apply to all content on NS's Servers. 3. Notwithstanding the above, Client's exclusive remedies for all damages, losses and causes of actions whether in contract, tort including negligence or otherwise, shall not exceed the aggregate dollar amount which Client paid during the term of this Agreement. INDEMNIFICATION: Client agrees that it shall defend, indemnify, save and hold Neotrope Software (NS) harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys' fees, ("Liabilities") asserted against NS, its agents, its customers, servants officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Client, its agents, employees or assigns. Client agrees to defend, indemnify and hold harmless NS against Liabilities arising out of (i) any injury to person or property caused by any products sold or otherwise distributed in connection with NS's Server; (ii) any material supplied by Client infringing or allegedly infringing on the proprietary rights of a third party; (iii) copyright infringement and (iv) any defective product which Client sold on NS Server. LAWFUL PURPOSE: Client may only use NS's Server for lawful purpose. Transmission of any material in violation of any Federal, State or Local regulation is prohibited. This includes, but is not limited to copyrighted material, material legally judged to be threatening or obscene, pornographic, profane, or material protected by trade secrets. This also includes links or any connection to such materials. Any usage found to be unlawful will result in immediate cancellation without refund, as well as notification of legal authorities where applicable. MATERIAL: NS will exercise no control whatsoever over the content of the information passing through the network. NS makes no warranties or representations of any kind, whether expressed or implied for the service it is providing. NS also disclaims any warranty of merchantability or fitness for particular purpose and will not be responsible for any damages that may be suffered by the Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of the Client. Use of any information obtained by way of NS is at the Client's own risk, and NS specifically denies any responsibility for the accuracy or quality of information obtained through its services. Connection speed represents the speed of a connection to and does not represent guarantees of available end to end bandwidth. NS expressly limits its damages to the Client for any non-accessibility time or other down time to the prorata monthly charge during the system unavailability. NS specifically denies any responsibilities for any damages arising as a consequence of such unavailability. In the event that this material is not "Server-ready", NS may, at its option and at any time, reject this material, including but not limited to after it has been put on NS's Server. NS agrees to notify Client immediately of its refusal of the material and afford Client the opportunity to amend or modify the material to satisfy the needs and/or requirements of NS. If the Client fails to modify the material, as directed by NS, within a reasonable period of time, which shall be determined between the parties themselves, the Agreement shall be deemed to be terminated. USER DISCLAIMER: This software is provided "as is" without warranty of any kind, either expressed or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or noninfringement. Neotrope Software makes reasonable efforts to produce useful software as well as accurate and up-to-date documentation regarding the use of such software, Neotrope Software does not, however, make any warranties or representations as to its usability, accuracy or completeness. Under no circumstances and under no legal theory shall Neotrope Software, or any other party involved in distributing Neotrope software be liable to you or any other person for damages resulting from your use of this software and its documentation. If the licensee does not agree to these terms, the licensee should not install or use our applications. It is important to be aware that no Internet-based "visual protection system" of any kind currently available is completely able to protect your content. The Mprotect system is specifically designed to aid in preventing copying of files directly from your server(s). There are various methods which can be used, with some effort, to circumvent all currently available protection schemes, including watermarks. Neotrope makes no claim that your content will be completely protected, or that our system will prohibit copying of your content through methods which differ from saving files directly from your server. The Mprotect system, like all other currently available systems, is intended primarily as a deterrant, and as reasonable protection from "casual copying" of copyrighted content, and when identified as protected content, to educate the intended audience that the materials being viewed are protected by your copyright. PURCHASED SOFTWARE LICENSE TERMS: The purchased version of this software includes a license to place the program on one web site (one ip address). A web site is considered to be comprised of information in any form stored at a particular domain name on a single server whose content is solely owned by the purchaser of the software. Web site developers, hosting providers, and similar companies who create and or store information for other parties are not considered to have ownership of the documents they maintain and store and therefore must purchase separate licenses in order to use the software within client documents. Licensee may utilize the Mprotect system to protect multiple websites, provided they are protected by the single Mprotect installation (see below). LICENSEE USAGE TERMS: The purchased and subscription version of this software includes a license to use the program for multiple domains owned by a single business, with one installation on a single domain (one ip address). Specifically, this allows the licensee to manage content for up to three websites using the 'Mprotect Domains' entry field within the Neotrope Mprotect application. The licensee may not use the installation to offer content protection to other websites, affiliates, partners, associates, or assigns, for any purpose whatsoever. The licensee may use the application to protect their content when images are placed onto auction sites such as eBay, provided the content is served from licensee sites. LICENSOR CREDIT (PURCHASED/LICENSED EDITION): The purchased version of this software includes a license to use the program for multiple domains owned by a single business, with one installation on a single domain (one ip address). For each website that utilizes the Mprotect system under this license, the licensee agrees to include a textual credit and link identifying the licensor. An example would be "Content protected by neotropeª mprotect" with a link to www.neotropesoftware.com. Neotrope must always appear with a "tm" as it is a claimed trademark, with application pending for registered status with the U.S. Patent and Trademark Office (PTO). Licensee agrees to maintain this credit as long as system is in use on applicable websites. Optional graphical buttons may also be used, if desired, to further notify site audience of content protection status. COPYRIGHT AND PROPRIETARY RIGHTS: All documentation, images, and examples are copyright © 2001 Neotrope Software. All rights reserved. Confidentiality -- Certain aspects of the Neotrope Mprotect and ReMark services are considered "proprietary" and by participating in this service you agree not to share the elements of how our service functions to outside parties, including but not limited to, sharing access to our customer-only information site, writing about how the service elements function at the detail level in an article, letter to an editor or other editorial matter, or publishing specifications of our system in any form. This is necessary to both protect how the system works from potential content "pirates," but also for trade secret protection from potential competition.
